Terms of Service

These Terms of Service ("Terms") govern your access to and use of the yndigoblue.com website (the "Site") and the software products and services offered by YndigoBlue ("YndigoBlue", "we", "us", or "our"), a California-based company. By creating an account, purchasing a subscription, or using the Site, you agree to be bound by these Terms.

1. Products and Services

YndigoBlue provides software libraries for .NET developers, including the Velocity Framework and Teradata Full Text Search, distributed as NuGet packages through our private feed. Access to NuGet packages, downloadable releases, and documentation is provided through a subscription.

2. Accounts

You must register for an account to purchase a subscription or access licensed content. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@yndigoblue.com if you suspect unauthorized use of your account.

You must provide accurate, current, and complete information when registering and keep it up to date. Accounts are for individual use unless you have purchased an organizational subscription covering multiple seats.

3. Subscriptions and License

Subscriptions are sold on an annual basis per developer seat. A developer seat entitles one named individual to use the licensed software packages in their development work. Upon payment, we grant you a limited, non-exclusive, non-transferable license to use the software packages covered by your subscription for the duration of the subscription period.

  • Each seat must be assigned to a single individual developer. Sharing credentials between multiple people is not permitted.
  • You may use the software in any number of projects and environments (development, test, staging, production) covered by your seat count.
  • You may not redistribute, sublicense, sell, or transfer the software packages or your subscription to any third party.
  • Organizational subscriptions allow seat assignment to team members via the Organization management page.

4. Payments and Renewals

All prices are stated in US dollars (USD) and exclude any applicable taxes. Subscriptions are billed annually in advance. Your subscription will renew automatically on the renewal date at the then-current seat price unless you cancel before the renewal date.

Payments are processed by Stripe. By providing payment details, you authorize us to charge the payment method on file for the subscription amount on the renewal date. You will receive an invoice by email following each successful payment.

If a renewal payment fails, we will notify you by email. Your access will be suspended until payment is resolved. If payment is not received within the grace period stated in the suspension notice, your subscription will be deactivated.

5. Cancellation and Refunds

You may cancel your subscription at any time from your Profile page. Cancellation takes effect at the end of the current billing period — you retain access until that date. We do not offer prorated refunds for the unused portion of a subscription period.

If you believe you have been charged in error, please contact us within 30 days of the charge at billing@yndigoblue.com and we will review your case.

6. Adjusting Seats

You may increase your seat count at any time; the additional seats are charged on a pro-rated basis for the remainder of your billing period. Seat reductions can be scheduled to take effect at your next renewal date via the Adjust Licenses option on your Profile page, which becomes available within the adjustment window before renewal.

7. Acceptable Use

You agree not to:

  • Use the software or Site for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to reverse-engineer, decompile, or disassemble the software beyond what is expressly permitted by applicable law.
  • Use automated tools to scrape, crawl, or excessively request pages or packages from our Site or NuGet feed.
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity.
  • Share, resell, or sublicense NuGet package access to parties outside your licensed organization.
  • Attempt to circumvent license enforcement mechanisms or authentication systems.

We reserve the right to suspend or terminate accounts that violate these Terms without notice or refund.

8. Intellectual Property

All software, documentation, trademarks, logos, and content on the Site are the property of YndigoBlue or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you. Your license to use the software is limited to the scope set out in Section 3.

9. Disclaimer of Warranties

THE SOFTWARE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM SECURITY VULNERABILITIES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YNDIGOBLUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE OR SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising from these Terms shall not exceed the total subscription fees paid by you in the twelve months preceding the claim.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by updating the "Last updated" date above. Continued use of the Site or your subscription after changes take effect constitutes acceptance of the revised Terms.
